CarterWill Search is seeking a Corporate Associate to join a technology-focused AmLaw corporate practice in Austin, Texas. This role provides the opportunity to work on venture financings, private equity transactions, and mergers & acquisitions for private companies across the technology and life sciences sectors.

About the Role

The ideal candidate will have 4–6 years of corporate experience, with a strong background in financing transactions and M&A. Responsibilities include advising clients throughout deal execution, drafting and negotiating transaction documents, conducting due diligence, and collaborating closely with internal teams and clients.

This position offers exposure to complex, high-profile transactions in a fast-paced, team-oriented environment, with significant client interaction and strategic deal involvement.

Qualifications

• 4–6 years of experience in corporate law, focusing on venture financings, private equity, and M&A

• JD from an ABA-accredited law school

• Strong academic credentials and analytical skills

• Excellent drafting, communication, and teamwork abilities

• Ability to manage multiple transactions efficiently while maintaining client focus and attention to detail
